1.1 These Terms of Use are a legal agreement between you and Fastfolio. They apply each time you use or access the website fastfolio.io , its sub-domains, any mobile version of the website and any of their content (the "Website"). By accessing or using the Website, you agree to be legally bound by these Terms of Use. If you access or use the Website on behalf of a legal entity that is your employer, for example, by doing so, you represent that you have authority to enter into these Terms of Use on behalf of your employer, so that your employer is legally bound by them.

1.2. If you do not agree with these Terms of Use we do not give permission for you to use the Website and you should not use the Website.

1.3. Please read our Privacy Policy. This explains the personal data that we collect and how we use personal data.

1.4. In these Terms of Use:

"we", "our", "us" and "Fastfolio" means Cipollone Ltd a company registered in England & Wales with company registration number 12015616. Our registered office is at Second Floor, 34 Lime Street, London, England, EC3M 7AT.
"you" and "your" means a user of the Website or if you access or use the website on behalf of a legal entity that is your employer, "you" and "your" means that legal entity.
"System" or “Service” means all the features and functionality of both the App and the Website, together with all its content (whether accessible wirelessly, electronically or downloadable for printing). The system is owned and managed by Cipollone Ltd.

1.5. If you need to contact us, log into your account and use the in-app chat service.

2. Permission to use the Website

2.1. Provided that you comply with these Terms of Use, we grant you a non-exclusive, non-transferable, revocable licence to access and view the Website.

2.2. Please note that you must read and agree to the terms and conditions of this Agreement before you use the System. If you do not agree to the terms and conditions of the Agreement, you may NOT use the System.

Understanding Fastfolio

You acknowledge and agree that the Fastfolio Service is a platform designed to help you build your portfolio. If you choose to access Fastfolio's Service you are solely responsible for the content you publish on the Company's platform. Therefore you understand and agree that you must upload only content you own the full intellectual property of, or content that you are licenced to use. Content means any form of media: text, images, videos, or audio. By using the service and uploading content you agree to be solely liable in case any third party claims content infringement or violation of rights regarding the content uploaded. If Fastfolio incurs any legal costs or damages related to liability arising from your content, you shall fully reimburse and indemnify the Company for those expenses and damages and any legal fees associated with them.

You acknowledge and agree that nothing contained in this agreement shall create an employer and employee relationship, a master and servant relationship, or a principal and agent relationship between the parties.

3. Use restrictions

3.1. You must not:

modify the Website or any part of it or create any derivative work based on the Website or any part of it;
distribute, publish, communicate to the public or otherwise share any text, images, graphics, videos or other content from the Website without our prior written consent;
frame, deep-link or scrape the Website or any part of it without our prior written consent;
interfere with or disrupt the operation of the Website or do anything that interferes with or disrupts any other person's access to or use of the Website;
remove or obscure any copyright notice, trademark notice, or other proprietary rights notice from the Website or from any downloads or copies that you make under Section 2.2 of these Terms of Use
intentionally or unintentionally violate any applicable laws and/or regulations;
"stalk" or otherwise harass another user of the System and/or any employee of Fastfolio;
solicit, collect or post personal data or attempt to solicit, collect or post personal data about other users of the Website from the Website (including user names or passwords) or about any other third party;

You also agree not to:

reproduce, duplicate, copy or re-sell any part of the System in contravention of the provisions of this Agreement;
resell access to the System;
frame the System or any part of it;
copy any material obtained from the System to peer to peer networks or other web sites or web services;
access without authority, interfere with, damage or disrupt any part of the System; any equipment or network on which the System is stored; any software used in the provision of the System; or any equipment or network or software owned or used by any third party;

4. Ownership of the Website

You acknowledge that all intellectual property rights in the Website belong to Fastfolio and Fastfolio's licensors.

5. Amendments to Terms of Use

We reserve the right to amend these Terms of Use from time to time. If we do, we will publish the changes on the Website. It is your responsibility to check the Website periodically for changes to these Terms of Use. The date at the top of this webpage indicates when these Terms of Use were last amended. By using or continuing to use the Website after the Terms of Use have been amended, you are agreeing to be legally bound by the amended Terms of Use.

6. Links

If the Website includes links to other websites, you acknowledge that we are not responsible for and will not be liable to you for those websites or the content on them. It is your responsibility to check the terms of use and privacy policies of those websites.

7. Legal disclaimer

7.1. Nothing in these Terms of Use excludes or limits our liability for death or personal injury caused by our negligence, for fraudulent misrepresentation or for any other liability that cannot be excluded or limited by law.

7.2. The Website is made available to you "as is". We do not warrant that the Website is free from errors, viruses or other harmful components. We do not give any warranty as to the availability of the Website or that access to the Website will be uninterrupted. We exclude to the fullest extent permissible by law all express or implied warranties, representations, conditions or terms in respect of the Website.

7.3. The use of the System (including but not limited to its content and features) is at your own risk. The System is provided on an "as is" and "as available" basis. To the extent permitted by applicable law, Fastfolio gives no warranty, expressed or implied, as to the quality, content and availability or fitness for a specific purpose of the System or to the accuracy of the information contained in any of the materials on the Service. Fastfolio shall not be liable to any person for any loss or damage of any kind, which may arise, directly or indirectly from the use of or inability to use any of the information contained in any of the materials on the System. There is no guarantee of availability of information on the System at any time, nor that it is up to date or error-free. As with any purchase of a product or service through any medium or in any environment, you should use your judgment and exercise caution where appropriate. No advice or information whether oral or in writing obtained by you from Fastfolio shall create any warranty on behalf of Fastfolio in this regard. Certain jurisdictions do not allow the exclusion or disclaimer of certain warranties. Accordingly, some of the above disclaimers may not apply to you. Your statutory rights as a consumer, if any, are not affected hereby.

7.4. The Website provides general information only. Nothing on the Website is intended to constitute advice or recommendations. You acknowledge that you will not rely on the Website and that it is your responsibility to seek independent advice or guidance before acting on or making any decision in relation to any information or matter mentioned on the Website. We will not be liable to you (whether in contract, tort – including negligence – or under any other legal theory), for any loss that you suffer or incur as a result of your doing or not doing anything as a result of any information or matter mentioned on the Website.

7.4. Subject to Section 7.1, we will not be liable to you under these Terms of Use or otherwise in connection with the Website for any special, indirect or consequential losses or damages, or any loss of data, loss of profits, account of profits, loss of revenues, loss of business, or goodwill, whether in contract, tort (including negligence) or under any other legal theory.

7.5. Subject to Section 7.1, our maximum liability to you under these Terms of Use or otherwise in connection with the Website whether in contract, tort (including negligence) or under any other legal theory shall be limited to £9.99.

8. Governing Law

These Terms of Use and any dispute or claim arising out of or in connection with these Terms of Use or their subject matter (including non-contractual disputes or claims) are subject to English law and to the [non-]exclusive jurisdiction of the English courts.

9. Subscription and terms

Your subscription to the Fastfolio service includes enrollment into an ongoing/recurring payment plan. Your subscription will automatically renew at the end of the disclosed billing period; this will be 4-weekly, monthly, quarterly, or annually according to your chosen plan, unless cancelled in accordance with the instructions for cancellation below. Payment will be charged to your chosen payment method at confirmation of purchase and at the start of every new billing period, unless cancelled.

We reserve the right to change your pricing and, in the event of a price change, we will notify you thirty (30) days in advance of the change by sending an email to the email address you have registered for your account. If you do not wish to accept a price change, you may cancel your subscription in accordance with the instructions included in that email and below. If you do not cancel your subscription after the price change takes effect and prior to the start of your new subscription period, your subscription will be renewed at the price in effect at the time of the renewal, without any additional action by you, and you authorise us to charge your payment method for these amounts.

9.1. Cancellation and Refund Policy

You can cancel your subscription at any time before the end of your current billing period. Cancellation will take effect at the end of your current billing period. To cancel your Fastfolio subscription follow these steps. Cancellations will only take effect at the end of your current billing period, and you will still be able to access Fastfolio premium features until then. We do not refund or credit for partially used billing periods.

9.2. Payment Details

Stripe may keep your detailed payment information, such as credit card number and expiry date, on file. You are responsible for keeping your payment details up-to-date by contacting customer support. You authorise us to continue to charge your card using the updated information. If a payment is not successfully authorised due to expiration, insufficient funds, or otherwise, we may suspend or terminate your subscription by giving you notice. You also agree that we may charge your payment method on file if you decide to restart your Fastfolio subscription, unless you specify an alternative payment method when you restart your subscription.

10. Limitation of Liability

To the fullest extent applicable permitted by applicable laws, Fastfolio, its affiliates, officers, directors, employees, licensors or any third parties exclude liability for any direct, indirect, incidental, special or consequential damages (including but not limited to any loss of data, service interruption, computer failure or pecuniary loss, loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable) arising out of the use of or inability to use the System, even if you have advised Fastfolio about the possibility of such loss, and including any damages resulting therefrom. Commentary and other materials posted on the System by other users are not intended to amount to advice on which reliance should be placed. We therefore, to the fullest extent permitted by applicable laws, disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the System, or by anyone who may be informed of any of its contents. If any part of this limitation of liability is found to be invalid or unenforceable for any reason, then the aggregate liability of Fastfolio (including any of its affiliates, service providers and licensors) under such circumstance for liabilities that otherwise would have been limited, shall not exceed the maximum single purchase price of the Fastfolio monthly subscription (£9.99). Any claims arising out of or in connection with your use of the System must be brought within one year of the date of the event giving rise to such action occurred.

11. Technology limitations and modifications

Fastfolio will make reasonable efforts to keep the System operational. However, certain technical difficulties, maintenance, or any other cause beyond our reasonable control (including (but not limited to) failure of the internet, natural disaster, labour shortage or dispute, or governmental act) may, from time to time, result in interruptions. Fastfolio reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, functions and features of the System with or without notice. You agree not to hold us liable for any such failure or delay in performance and we agree to make all reasonable efforts to restore the System (or any part thereof) as soon as practicable. Following any disruption within Fastfolio's reasonable control we shall extend your access to the Paid for Services for at least the duration for which those Paid for Services were inaccessible on written request to the below address.

12. Indemnity

You agree to indemnify and hold Fastfolio and its officers, directors, employees and licensors harmless from any claim or demand (including but not limited to reasonable legal fees) made by a third party due to or arising out of or related to your violation of the terms and conditions of this Agreement or your violation of the System (and all related materials) or any applicable laws, regulations or third party rights.

13. Breach of the Agreement

We will determine, in our absolute discretion, whether there has been a breach of this Agreement through your use of the System. When a breach of this Agreement has occurred, we may take such action as we deem appropriate, which may include all or any of the following actions:

Immediate, temporary or permanent withdrawal of your right to use the System and/or the Fastfolio Service.
Immediate, temporary or permanent removal of any posting or material uploaded by you to the System and/or the Fastfolio Service.
Issue a warning notice to you to immediately cease and/or remedy such breach and following receipt such action should be taken immediately.
Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
Any further legal action against you.
Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of this Agreement. The possible actions we may take on breach of this Agreement are not limited to those described here, and we may take any other action we reasonably deem appropriate.

Entire Agreement

This Agreement (incorporating these terms and the Privacy Policy as may be updated from time to time), our Community Guidelines and our Content Policies constitute all the terms and conditions agreed upon between you and Fastfolio and supersede any prior agreements in relation to the subject matter of this Agreement, whether written or oral. Any additional or different terms or conditions in relation to the subject matter of this Agreement in any written or oral communication from you to Fastfolio are void. You agree and accept that you have not accepted the terms and conditions of this Agreement in reliance of or to any oral or written representations made by Fastfolio not contained in this Agreement.
